Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and NeedThat Studio, LLC, a Delaware limited liability company ("Scholarly," "we," "us," or "our"). They govern your access to and use of the Scholarly mobile application and the website at tryscholarly.app (together, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

This agreement is between you and NeedThat Studio, LLC only — not with Apple Inc. or Google LLC. Apple and Google are not responsible for the Service or its content.

1. What Scholarly Is (and Isn't)

Scholarly is an AI-powered tool and assistant that helps students discover scholarships, match with opportunities, prepare application materials, and submit applications on your behalf. To be clear about what that means:

  • Scholarly is a productivity tool that acts as your authorized assistant for scholarship applications — not as your agent, representative, or fiduciary in any other capacity.
  • Before any application is submitted, you will be prompted to review all information for accuracy and explicitly authorize Scholarly to complete and submit the application on your behalf.
  • You are solely responsible for the accuracy and completeness of the information in every application. Scholarly assists with discovery and application processing but does not independently verify your information.
  • Scholarly does not guarantee that you will receive any scholarship, funding, or financial award.
  • Scholarly does not guarantee the accuracy, completeness, or availability of any scholarship listing.
  • Scholarly does not sign legal documents on your behalf. If a scholarship requires a personal signature, you will be prompted to provide it directly.
  • Some scholarships in the Service are sponsored, meaning the organization offering them pays us to host or promote the program. Sponsored scholarships are labeled. Sponsorship does not change your eligibility or how your application is judged.

By authorizing Scholarly to submit an application, you confirm that you have reviewed the information, that it is accurate to the best of your knowledge, and that you take full responsibility for the submission.

2. Eligibility

You must be at least 13 years old to use the Service.

Users under 18: If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By allowing a minor to use the Service, the parent or guardian agrees to be bound by these Terms and to supervise the minor's use. Parents and guardians are responsible for the acts and omissions of minors using the Service.

Features restricted to adults. Third-party financial product information (Section 9) is available only to users 18 and over, and will not be shown to you if your date of birth indicates you are under 18. Providing a false date of birth to access it violates these Terms.

3. Your Account

You are responsible for:

  • Providing accurate, truthful, and complete information in your profile and application materials.
  • Keeping your account credentials confidential.
  • All activity that occurs under your account.

Submitting false, misleading, or fraudulent information — whether to us or through the Service to any scholarship provider — may result in immediate termination of your account.

4. AI-Generated Content

Scholarly uses artificial intelligence to help you discover scholarships, autofill application fields, and draft content such as essay responses. You acknowledge and agree that:

  • AI-generated outputs may be inaccurate, incomplete, or unsuitable for a particular scholarship application.
  • You must review, edit, and verify all AI-generated content before authorizing submission.
  • You are the author and owner of any content you choose to submit after reviewing and editing AI-generated drafts.
  • Scholarly is not responsible for any consequences arising from your use of AI-generated materials, including rejected applications, disqualification, or policy violations with scholarship providers.
  • Some scholarship providers may have policies regarding AI-assisted applications. It is your responsibility to understand and comply with each provider's rules.

5. User Responsibilities

When using the Service, you are responsible for:

  • Reviewing all content for accuracy — including autofilled fields, AI-generated text, and matched scholarship details — before authorizing any submission.
  • Verifying your eligibility for each scholarship. Scholarly's matching is based on the information you provide, but eligibility determinations are made by scholarship providers, not by us.
  • Authorizing each submission. Scholarly will not submit any application without your explicit authorization. Once you authorize a submission, you accept responsibility for the information contained in it.
  • Meeting deadlines. Scholarly may surface deadline information, but we do not guarantee its accuracy and are not responsible for missed deadlines.
  • Complying with all rules of scholarship providers, educational institutions, and applicable laws.

6. Submission Authorization and Signatures

When you authorize Scholarly to submit an application, you grant us permission to use the information you have provided to complete and submit that specific application to the scholarship provider on your behalf. This authorization is given on a per-application basis — each submission requires your explicit review and confirmation.

Scholarly does not sign legal documents, agreements, or binding forms on your behalf. If a scholarship application requires a personal signature, attestation, or legal consent, you will be prompted to provide it directly.

7. Third-Party Services and Scholarship Providers

Scholarships listed in the Service are offered by independent third-party organizations. Scholarly is not affiliated with, endorsed by, or responsible for any scholarship provider unless expressly stated. We are not responsible for:

  • Decisions made by scholarship providers (including acceptance, rejection, or disqualification).
  • The accuracy, completeness, or timeliness of scholarship listings, requirements, or deadlines.
  • The availability, functionality, or security of external application systems or websites.
  • How third parties handle your personal data once you submit an application to them.

8. Sponsored Scholarships

8.1 Sponsored scholarships are labeled as such. The sponsor sets its own eligibility criteria and selects its own recipients. Scholarly does not select winners and cannot influence selection. Holding a paid subscription does not improve your chances.

8.2 When you authorize submission, your application and the profile information it contains go to the sponsor so that they can review it and select recipients. The sponsor may contact you about your application. Applications are sent only for scholarships you choose to apply to.

9. Third-Party Financial Product Information

9.1 Scholarly may display information about financial products offered by third parties, including student loans, student loan refinancing, and student banking products. This information is published for you to read and compare.

9.2 Scholarly is not a lender, loan broker, loan originator, credit services organization, or financial adviser, and does not act as one. Scholarly does not:

  • originate, arrange, negotiate, place, or service any loan or credit product;
  • assess your creditworthiness, income, or ability to repay;
  • determine or represent whether you qualify for any product, or on what terms;
  • solicit or accept applications for credit, or transmit any application to a lender;
  • receive or hold funds on your behalf.

9.3 If you choose to pursue a product, you leave the Service and deal with that company directly. Approval, rates, fees, and terms are determined solely by them, and any resulting agreement is between you and them.

9.4 A provider may pay us a fee if you open an account after arriving from the Service. Compensation does not determine which products are displayed, or the order in which they appear.

9.5 Nothing displayed is a recommendation, offer, or financial, legal, or tax advice, and the products shown are not every product available to you.

9.6 This feature is available only to users 18 and over.

10. Subscriptions, Billing, Auto-Renewal, and Refund Policy

Certain features of the Service require a paid subscription. Subscriptions are sold through Apple's App Store and/or Google Play and are subject to their respective terms.

  • Payment: Payment is charged to your Apple ID or Google account at confirmation of purchase.
  • Auto-renewal: Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period.
  • Renewal charge: Your account will be charged for renewal within 24 hours prior to the end of the current period at the then-current subscription price.
  • Managing your subscription: You can manage and cancel your subscription in your device's account settings. Cancellation takes effect at the end of the current billing period.
  • Free trials: If offered, any unused portion of a free trial is forfeited when you purchase a subscription.
  • No guarantee of results: A paid subscription provides access to features. It does not guarantee that you will receive any scholarship or funding.

Refund Policy — All Sales Final

All purchases are final and non-refundable, except where a refund is required by applicable law. NeedThat Studio, LLC does not issue refunds or credits for any subscription fees, including for:

  • Partially used or unused billing periods.
  • Cancellation after a billing period has begun (you retain access until the period ends, but no refund is issued for the remainder).
  • Forgetting to cancel before an auto-renewal.
  • Dissatisfaction with matches, application outcomes, or not receiving any scholarship or award.
  • Downgrades or unused features.

Because purchases are processed by Apple or Google, we do not control their payment systems and cannot process refunds ourselves. Any refund request must be submitted directly to Apple or Google and will be decided solely under their policies. Granting or denying such a request is entirely at Apple's or Google's discretion.

11. Acceptable Use

You agree not to:

  • Provide false, misleading, or fraudulent information in your profile or applications.
  • Use the autofill or AI features to fabricate credentials, qualifications, or experiences you do not have.
  • Attempt to game, exploit, or manipulate scholarship systems or providers using the Service.
  • Submit applications for scholarships you know you are not eligible for.
  • Use the Service to harass, defraud, or harm others.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use bots, scrapers, or other automated systems to access the Service (other than platform-permitted accessibility tools).
  • Interfere with, disrupt, or overload the Service or its infrastructure.
  • Use the Service in violation of any applicable law or regulation.

12. Objectionable Content and Abuse

Scholarly has zero tolerance for objectionable content or abusive behavior. We reserve the right to remove content and terminate accounts of users who post or transmit content that is unlawful, harassing, defamatory, obscene, or otherwise objectionable. Report concerns to aidan@tryscholarly.app; reports are reviewed within 24 hours.

13. Account Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or engaged in conduct that is harmful to other users, scholarship providers, or the integrity of the Service. You may stop using the Service and delete your account at any time from within the app.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

14. Intellectual Property

The Service, including all software, design, text, and graphics, is owned by NeedThat Studio, LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use.

You retain ownership of the personal content you create and upload (such as essays, resumes, and profile information). You grant us a limited license to use this content solely to provide and improve the Service — for example, to generate matches, prefill forms, and produce AI-assisted drafts for you.

15. No Guarantees

To be unambiguous: Scholarly does not guarantee any outcome. Specifically, we make no guarantee regarding:

  • Your eligibility for any scholarship.
  • The accuracy, completeness, or currentness of any scholarship listing.
  • Whether you will receive any scholarship, funding, or financial award.
  • The accuracy or suitability of AI-generated content.
  • The availability or functionality of the Service at any given time.

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

AI-GENERATED CONTENT IS PROVIDED FOR CONVENIENCE AND INFORMATIONAL PURPOSES ONLY. IT IS NOT PROFESSIONAL ADVICE AND SHOULD NOT BE RELIED UPON WITHOUT INDEPENDENT VERIFICATION.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEEDTHAT STUDIO, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR OPPORTUNITIES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

THIS INCLUDES, WITHOUT LIMITATION, LIABILITY FOR:

  • Missed scholarship deadlines.
  • Rejected or disqualified applications.
  • Incorrect scholarship matches or eligibility determinations.
  • Errors in AI-generated content.
  • Actions taken by third-party scholarship providers.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) FIFTY U.S. DOLLARS ($50).

18. Indemnification

You agree to indemnify, defend, and hold harmless NeedThat Studio, LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another person or entity; (d) any content you submit through the Service; or (e) any application you submit to a scholarship provider.

19. Apple and Google Platform Terms

You acknowledge and agree that:

  • These Terms are between you and NeedThat Studio, LLC only — not with Apple or Google. We are solely responsible for the Service.
  • Apple and Google have no obligation to furnish maintenance or support services for the Service.
  • In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple or Google, and they will refund the purchase price (if any); to the maximum extent permitted by law, they have no other warranty obligation with respect to the Service.
  • Apple and Google are not responsible for addressing any claims relating to the Service, including product liability claims, regulatory compliance claims, and consumer protection claims.
  • In the event of a third-party intellectual property infringement claim, NeedThat Studio, LLC (not Apple or Google) is responsible for the investigation, defense, settlement, and discharge of such claim.
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government restricted parties list.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you as a third-party beneficiary.

20. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Except for disputes subject to arbitration under Section 21, any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

21. Mandatory Arbitration

Before starting arbitration, email us at aidan@tryscholarly.app describing the dispute and give us 30 days to resolve it informally.

Any dispute arising out of or relating to these Terms, the Privacy Policy, or the Service — including its formation, breach, termination, or enforceability — shall be resolved exclusively by final and binding individual arbitration, and not in a court of law, under the Federal Arbitration Act (9 U.S.C. §§ 1–16). Arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules before a single arbitrator in Delaware. Hearings may be held by phone or video at no cost to you. We will pay all arbitration fees exceeding what filing the same claim in court would have cost you. A court, not the arbitrator, decides the enforceability of Section 22.

This Section does not apply to individual claims in small claims court, to claims for injunctive relief relating to intellectual property or unauthorized access to the Service, or to any claim applicable law does not permit to be arbitrated or waived.

If you are under 18, your parent or legal guardian agrees to this Section and Section 22 on your behalf and in their own capacity. You may opt out by emailing aidan@tryscholarly.app with the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms.

22. Class Action Waiver

YOU AND NEEDTHAT STUDIO, LLC MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. EACH PARTY ALSO WAIVES ANY RIGHT TO A TRIAL BY JURY.

The arbitrator may not consolidate claims or preside over any class proceeding. If this Section is found unenforceable as to any claim, that claim shall be brought in the state or federal courts located in Delaware while all remaining claims continue in arbitration. Class arbitration is not permitted.

23. Severability

If any provision of these Terms is held invalid or unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it.

24. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will notify you by updating the "Last updated" date at the top and by providing in-app or email notice. Where a change materially affects your legal rights, we will ask you to affirmatively accept the updated Terms before you continue using the Service. Your continued use of the Service after non-material changes take effect constitutes acceptance of the updated Terms.
